Proposed Chapter By-Law Changes – For Discussion and Agreement
At the Monday, April 4th Chapter Membership Meeting the Secretary will present three proposed changes to current Chapter By-Laws that the Board believe will assist the Chapter in its operations.
The three proposed changes below have been discussed and agreed unanimously by the Executive Board (meeting of March 22nd, 2022) and now require membership voting and agreement to adopt:
- Executive Officers (‘Board Positions’) – Article 7
The proposal is to add a fifth voting Board position (Executive Officer). This will aid in decisioning and promoting improved progress in dealing with Chapter matters, avoiding tied voting. The most significant impactful additional role is Membership Director, though others may be considered as an alternative.
Existing By-law entry:

A. The membership will elect four Executive Officers: President, Vice President, Secretary and Treasurer.

The membership will elect five Executive Officers: President, Vice President, Secretary, Treasurer and Membership Director
- Chapter Meetings – Article 9, para A
The proposal is to provide more flexibility as to when Monthly Chapter Membership Meetings are held, addressing the experience of the pandemic and responses to the ability (or inability) to gather in-person.
Existing By-law entry:
Membership Meetings will be held monthly, on the first Monday, September to June.
Proposed By-law adjustment:
Membership Meetings should be held monthly and on the first Monday of each month, as is practical. The Executive Officers may determine an alternative day/date and mode of meeting (in-person, via Zoom or similar) and will communicate same to membership as soon as possible.
- Monthly Chapter Meetings – Article 9, para C
The proposal is to avoid the current wholesale turnover of the entire Board when elections are held every two years, reducing the potential for impact of loss of experience and capability at the Board level. This can be accomplished by phasing elections as following: President, Secretary and Membership Director in the first tranche, with Treasurer and Vice President in the following year.
Existing By-law entry:
The election of Officers will occur every two years at the November General Meeting.
Proposed By-law adjustment:
Elections will be held evert two years, but will be phased, with elections for President, Secretary and Membership Director in the first tranche, and with Treasurer and Vice President in the following year.
